1. Acceptance of Terms and Conditions
For the purposes of these Terms and Conditions, the following terms shall have the meanings set out below:
- Platform: means the website www.easy-jordan.com and all related mobile applications, systems, and services provided by easy address delivery services LLC (easy).
- Business Partner or Partner: means any legally registered restaurant, store, pharmacy, merchant, supplier, or service provider that uses the Platform to offer products or services.
- Delivery Champion: means the delivery personnel assigned by easy or by third-party logistics partners to deliver Orders.
- Order: means any request placed by a customer through the Platform for goods or services offered by a Business Partner.
- Content: means any data, text, images, logos, menus, product descriptions, promotional materials, or other information uploaded or submitted by a Business Partner.
- Personal Data: means any information relating to an identified or identifiable natural person, as defined under Jordan Personal Data Protection Law No. 24 of 2023.
- JFDA: means the Jordan Food and Drug Administration and its binding instructions, circulars, and regulatory requirements.
- Customer: means any end-user who places an Order through the Platform.
- Account: means the Business Partner’s registered profile on the Platform.
- Services: means the digital marketplace, order management tools, payment processing solutions, delivery coordination, and other features provided by easy.
By accessing, connecting to, using, or creating an account on this website and its related applications on Android, iPad, iPhone, or any other mobile device (the "Platform"), including but not limited to any services provided through the Platform, you confirm that you have read and understood these Terms and Conditions (the "Terms"). This includes the Terms and the Privacy Policy available at www.easy-jordan.com. By using the Platform, you agree to abide by these Terms and comply with all applicable laws and regulations related to its use.
You acknowledge that these Terms form a legally binding agreement between you and easy address delivery services LLC (referred to as "easy," "Company," "we," "us," or "our") concerning your access to and use of this Platform as a Business Partner. Please ensure you review these Terms thoroughly before offering your products or services through our Platform.
By accessing, using, browsing, signing up, or registering on the Platform, you become a Business Partner of the Platform (the "Business Partner," "Partner," or "you"). As a Business Partner, you agree to adhere to and comply with the provisions outlined in these Terms. You must be a legally registered business or an authorized representative of a business entity in accordance with the laws of the Hashemite Kingdom of Jordan to use the Platform.
It is your responsibility to ensure that you make all necessary arrangements to access the Platform. Additionally, you are responsible for ensuring that any authorized individual who accesses the Platform on your behalf is aware of and complies with these Terms. By using, viewing, accessing, browsing, or submitting any content or material on the Platform, you agree to these Terms as a legally binding agreement, without any limitations or qualifications. The term "you" or "You" refers to any business entity or authorized representative that accesses, uses, views, or submits any content or materials on the Platform.
If you do not agree to these Terms, you are not permitted to use the Platform. easy may amend these Terms from time to time. Any changes will be published on the Platform and, where required by applicable Jordanian law, we will notify you of material changes. Each time you access or use the Platform, it will be subject to the Terms as they are displayed at that time. By continuing to use the Platform now or after any modifications are made to these Terms, you acknowledge that you have read, understood, and agreed to be bound by the updated Terms, subject to your non-waivable rights under Jordanian law. In case of any conflict between these Terms and any mandatory provisions of Jordanian law, the mandatory provisions shall prevail.
2. Business Partner Responsibilities and Code of Conduct
While using the services provided on the Platform, the Business Partner accepts, agrees, undertakes, and commits to:
- Provide accurate, complete, and current information about your business, products, and services, and update it as needed.
- Keep your credentials confidential and accept responsibility for all activities under your account.
- Do not create multiple accounts for the same business entity or access the Platform using another business’s account without their explicit consent.
- Acknowledge that easy may suspend or terminate accounts for false information, misuse, or suspicious/fraudulent activity.
- Use the Platform only through its authorized interfaces; do not alter, reverse-engineer, bypass security, or use bots/scrapers/automated tools without written permission.
- Do not post or transmit content that is illegal, fraudulent, defamatory, obscene, hateful, harassing, discriminatory, or otherwise unlawful under the Hashemite Kingdom of Jordan law.
- Do not threaten, harass, or intimidate customers, other business partners, or easy personnel, or interfere with the use of the Platform.
- Do not upload or transmit viruses, malware, or harmful code, or attempt denial-of-service or similar attacks.
- You are solely responsible for the information, statements, files, and content you provide about your business, goods, or services.
- Respect intellectual property and privacy rights; do not upload or reuse content you do not own or lack rights to use (including product images, menus, and third-party material).
- Do not mislead others about the origin of content or impersonate any entity.
- Conduct commercial activity only within the scope of services authorized by easy. Unauthorized advertising, promotions, surveys, or competitions outside the agreed scope are prohibited.
- Pay all applicable service fees, commissions, and charges as notified by easy. Non-payment may result in suspension of your account.
- Acknowledge that easy may monitor, log, and audit use of the Platform to maintain security, quality, and compliance, and may remove content, suspend/terminate accounts, or cooperate with authorities where appropriate.
- Accessing the Platform is at your own risk. You are responsible for any damage or data loss to your systems and waive any claim for compensation arising from such access.
The Business Partner must not:
- Breach any applicable law or regulation.
- Upload or distribute malware or harmful code.
- Scrape, harvest, or mine Platform data without written consent.
- Run unsolicited advertising, bulk messaging, or spam.
- Attempt unauthorized access, probe, or exploit vulnerabilities.
- Misuse personal data of customers or manipulate ratings/reviews.
- Use the Platform for unlawful, immoral, or extremist purposes, or to promote violence or self-harm.
3. Account Creation, Usage, and Security Guidelines
A Business Partner may create and set up an account on the Platform, choosing their own username and password. The choice of username and password is the responsibility of the Business Partner. Each username is unique to an individual Business Partner account, and duplicates are not permitted. The password remains confidential, known only to the Business Partner, who may change it at any time. It is the Business Partner’s sole responsibility to select and secure their password. easy is not responsible for any issues that may occur due to password misuse.
To access services that require an Account on the Platform, the Business Partner must input their username and password. This action is referred to as login or Sign In to the Platform. By accessing this Platform, you confirm that all business and personal information you provide is accurate, up-to-date, and complete. You agree to promptly inform us of any changes to your information either by updating your profile on the Platform or by contacting us directly. You commit not to impersonate any other entity, nor to use a name that you are not legally authorized to use.
You must not create multiple Accounts for a single business entity without prior approval from easy. Breaching this condition can lead to the suspension or termination of your account. Business Partners must keep their passwords confidential and not share them with unauthorized individuals. You are accountable for all activities carried out through your Account. Should you believe or become aware that someone else knows your password, you are advised to change it promptly and inform us without delay.
The use of the Platform for illegal or unauthorized purposes is strictly prohibited. This includes, but is not limited to:
- Uploading or disseminating viruses or any other type of malicious code that may affect the functionality or operation of the Platform, other websites, or the Internet.
- Engaging in any activities that collect or track the personal or business information of others without authorization.
- Using the Platform for any unlawful, offensive, or immoral purpose.
- Circumventing or manipulating the structure of the Platform to exploit billing processes or interfere with fee collection.
- Distributing material that is unlawful, defamatory, abusive, threatening, harmful, vulgar, or otherwise inappropriate.
- Using automated systems, such as robots, spiders, or offline readers, to access the Platform in a manner that sends more request messages to the Platform servers than a human can reasonably produce in the same period using a conventional online web browser.
- Interfering with another Business Partner’s or customer’s use or enjoyment of the Platform.
- Participating in any form of unsolicited advertising, soliciting, or campaign material distribution, commonly known as "spam," including sending mass communications without consent.
- Transmitting content that could constitute a criminal offense, give rise to civil liability, or otherwise violate any laws, regulations, or codes of conduct.
- Damaging, disabling, or impairing the functionality of this Platform or attempting to gain unauthorized access to this Platform or to any associated networks via hacking, spoofing, or other similar methods.
It is expected that each device will be associated with only one Business Partner account. If you decide to delete your Account, you can delete it directly from the Platform. easy may suspend, deactivate, or terminate accounts for suspicious, fraudulent, or abusive activity. You acknowledge that electronic records, electronic signatures, login confirmations, and digital communications made through the Platform shall have full legal effect and enforceability in accordance with Jordan Electronic Transactions Law No. 15 of 2015.
4. Personal Data/Information Protection
By using the Platform as a Business Partner, you consent to the collection, use, processing, storage, and disclosure of business and personal data ("Personal Data") as described in these Terms and our Privacy Policy, in accordance with applicable Jordanian data protection principles and Personal Data Protection Law No. 24 of 2023, to the extent currently in force.
By using the Platform, you agree and consent to easy and any of its affiliate companies collecting, using, processing, storing, and disclosing your Personal Data in accordance with these Terms and as outlined in our Privacy Policy. Your data will only be used for purposes necessary to provide, improve, and enhance the services of the Platform. This includes, but is not limited to:
· Verifying your business identity, licenses, and regulatory documents.
· Processing and settling payouts and related financial transactions.
· Ensuring compliance with legal and regulatory obligations, including anti-money laundering, know-your-customer, and tax requirements under Jordanian law.
· Enhancing overall partner experience and Platform operations.
We may preserve and disclose account or business information if required by law, regulation, or a competent authority in the Hashemite Kingdom of Jordan.
You acknowledge and agree that easy takes reasonable steps to safeguard your Personal Data; however, easy cannot guarantee that unauthorized access by third parties will not occur. In the event of any security breach impacting your Personal Data, easy will notify you in accordance with applicable Jordanian laws and regulations.
You may request access, correction, or deletion of your Personal Data by contacting us through the Platform or changing it directly in the Platform, subject to applicable laws. However, deleting certain data may affect your ability to use essential features of the Platform or to remain an active Business Partner where retention is legally required.
Your Rights Under Jordan Data Protection Law
Subject to Personal Data Protection Law No. 24 of 2023, you have the right to:
· Access your Personal Data.
· Request correction of inaccurate data.
· Request deletion of data (where legally permissible).
· Object to or restrict processing in certain cases.
· Withdraw consent for processing that is based on consent.
· Submit a complaint to the Jordanian Data Protection Authority once formally established.
5. Platform Usage and Business Partner Disclaimer
Only Business Partners who agree to these Terms and Conditions are permitted to use the Platform to list, promote, and sell their goods or services through easy. Business Partners may include but are not limited to restaurants, groceries, pharmacies, flower shops, gift shops, and other licensed suppliers, vendors, or service providers.
The purpose of the Platform is to provide Business Partners with access to a digital marketplace through which they can offer their goods and services to end-users. easy acts solely as a facilitator, providing the technology infrastructure for order placement, payment processing, and coordination with third-party delivery providers.
Business Partners are solely responsible at all times for:
- The accuracy of their listings, menus, prices, and promotional information.
- Compliance with all applicable local laws, regulations, standards, and licensing requirements relating to the safety, preparation, quality, and sale of goods and services.
- Ensuring that restricted or regulated goods (including but not limited to pharmaceuticals or age-restricted items) are listed, prepared, and provided only in compliance with applicable laws and regulations.
easy does not interfere in the preparation, production, or provision of any goods or services offered by Business Partners and shall not be held liable for any consequences arising from such goods or services.
Please note that easy does not independently confirm or verify the credentials, claims, or products of Business Partners, nor does it guarantee the quality, safety, or legality of any goods or services offered. Business Partners remain fully responsible for ensuring that their operations, goods, and services meet applicable legal and regulatory requirements.
easy retains the right, at its discretion, to restrict, suspend, or remove any Business Partner listings or goods from the Platform, including where compliance or quality concerns arise, or where prohibited by law.
Business Partners are solely responsible for fulfilling accepted orders in accordance with applicable standards and timelines. While Business Partners are expected to adhere to indicated preparation and readiness times, such times are estimates and may be affected by external factors beyond their control.
easy will not be held liable or responsible for any goods or services provided by Business Partners that fail to meet legal, safety, or quality standards, or that otherwise fail to meet expectations. The responsibility for the preparation, quality, accuracy, and lawful provision of goods and services rests entirely with the Business Partner.
6. Business Partner Content and Prohibited Activities
Other than personally identifiable information ("Personal Data"), which is governed by the Platform's Privacy Policy, any content or material you, as a Business Partner, transmit or post to this Platform will be treated as non-confidential and non-proprietary. The Platform will not have any obligations concerning such material. The Platform and any parties authorized by easy will have the unrestricted right to copy, disclose, distribute, incorporate, and otherwise utilize that material, along with any associated data, images, sounds, text, or other elements, for any commercial or non-commercial purposes.
You are strictly prohibited from posting, uploading, or transmitting to or from this Platform any material that:
- Violates any applicable local, national, or international laws.
- Is unlawful, fraudulent, or misleading.
- Constitutes unauthorized advertising, spam, or unsolicited promotions.
- Contains viruses, malware, or any other harmful or malicious programs.
- Misuses the Platform in any way, including through unauthorized access or hacking.
Any comments, feedback, or material submitted by you through the Platform must not:
- Contain defamatory, obscene, offensive, or inappropriate content.
- Promote violence, hatred, or discrimination in any form.
- Infringe on the intellectual property rights of any individual or entity.
- Violate any legal obligation owed to a third party, such as a duty of confidence or privacy.
- Encourage or facilitate illegal activity.
- Be designed to invade the privacy of others or exploit personal information.
- Mislead others into thinking that the content originates from easy or its affiliates.
- Be used to impersonate another person or misrepresent your relationship with any entity or individual.
Business Partners must not engage in any activity that disrupts or interferes with the operation or performance of the Platform, including overloading systems, initiating denial-of-service attacks, or exploiting any vulnerabilities in the Platform. You are prohibited from using any automated tools, bots, or crawlers to access or collect data or information from the Platform without prior written consent from easy.
Business Partners may not copy, reproduce, distribute, or use any content or material from the Platform for commercial purposes without obtaining explicit written authorization from easy. You must not use the Platform to post or promote any goods, services, or activities that are illegal, restricted, or contrary to public morality and standards in the applicable jurisdiction.
Business Partners are expected to interact respectfully with customers, other partners, and easy representatives. Harassment, abuse, threats, or discriminatory behavior will not be tolerated and may result in immediate suspension of your account. You must not provide inaccurate, incomplete, or false information on the Platform or during any transactions.
The prohibited acts outlined in the preceding sections are not exhaustive. You agree to reimburse easy for any costs, damages, or losses incurred as a direct or indirect result of your breach of these restrictions. easy will cooperate fully with law enforcement authorities or comply with any court orders that require or request the disclosure of the identity or location of any individual or entity found to have posted material in violation of these Terms.
Prohibited Activities, Enforcement, and Business Partner Responsibilities
You are not allowed to access or use the Platform for any purposes other than those explicitly provided by the Platform. In the event of any prohibited activities conducted by a Business Partner, easy reserves the right to suspend, block, or terminate the account and deny access to the Platform and its services.
Examples of prohibited activities include, but are not limited to, the following:
- Breaching any applicable law, statute, ordinance, or regulation.
- Violating laws or industry standards regarding the sale or distribution of restricted goods (such as pharmaceuticals or regulated items).
- Infringing upon copyrights, trademarks, privacy rights, publicity rights, or any other proprietary rights.
- Participating in illegal activities, including encouraging, promoting, facilitating, or instructing others to engage in unlawful acts.
- Conducting payments to or from sanctioned countries or involving entities or individuals subject to sanctions.
- Providing misleading or false information regarding your business operations or licensing.
- Supporting activities, products, or services that finance or promote terrorism.
- Dealing in narcotics, controlled substances, or products that pose a risk to consumer safety.
- Offering products, services, or media that promote discrimination, hatred, harassment, or violence.
- Selling counterfeit goods or replicas, including clothing, accessories, or other products.
- Engaging in behavior towards easy personnel that is offensive, threatening, abusive, or otherwise inappropriate.
- Uploading, sharing, or transmitting copyrighted content, trade secrets, or proprietary materials without appropriate authorization.
- Distributing unsolicited messages, advertisements, or spam.
- Facilitating or attempting unauthorized access to the Platform’s systems, including hacking, bypassing security measures, or exploiting vulnerabilities.
- Manipulating reviews, ratings, or feedback on the Platform for personal or commercial advantage.
- Offering or promoting illegal trade activities, counterfeit documents, or unlicensed financial services.
- Participating in activities that compromise the safety and security of the Platform’s users, employees, or infrastructure.
easy retains the right, but is not obligated, to take any or all of the following actions without limiting other possible measures:
- Investigate claims of non-compliance with these Terms and, at its sole discretion, decide to remove or request the removal of content.
- Remove any content that is unlawful, disruptive, or otherwise in violation of these Terms.
- Monitor, review, modify, or disclose any content uploaded or shared on the Platform.
- Modify or delete content posted on the Platform, even if it does not explicitly breach these Terms.
- Suspend, deactivate, or terminate your account if fraudulent activity, suspicious behavior, or violations of these Terms are suspected or detected.
- Restrict access to certain features, functionalities, or services within the Platform as part of routine security or operational measures.
- Retain or delete any content, data, or account information in compliance with applicable legal or regulatory requirements.
- Take appropriate legal action, including reporting to law enforcement or regulatory authorities, if necessary, to address unlawful activity or other violations of applicable laws.
7. Order Placement and Confirmation Process
When a customer places an order through the Platform, the request is transmitted to the selected Business Partner for review and acceptance. The Business Partner is responsible for ensuring that the information provided in the order (including items, quantities, and prices) is correct and can be fulfilled.
Upon receiving an order, the Platform will notify the Business Partner through the Partner account, dashboard, or other approved communication channel. The Business Partner must promptly confirm acceptance of the order to allow processing and preparation to begin.
Once confirmed, the Business Partner is obligated to prepare and make the goods or services available in accordance with the agreed timelines, product descriptions, and applicable standards. Any delays, rejections, or inability to fulfill an order must be immediately communicated through the Platform or any other method.
Business Partners acknowledge that orders may only be deemed valid when confirmed through the Platform. Orders not accepted or not confirmed within the required timeframe will be automatically canceled by easy.
The Business Partner is solely responsible for maintaining accurate and up-to-date menu items, pricing, availability, and business information on the Platform to ensure correct order processing and customer satisfaction.
8. Delivery Policies and Procedures
Business Partners acknowledge that delivery services on the Platform are fulfilled either by easy’s designated delivery champions or by third-party logistics providers integrated with the Platform. Delivery zones may vary depending on service coverage and are subject to change, expansion, or reduction due to operational considerations, force majeure events, or other factors outside easy’s control.
Delivery Timing and Partner Responsibilities
Estimated delivery times communicated to customers via the Platform are for guidance only and are not guaranteed. Business Partners are responsible for preparing and releasing orders to the assigned delivery champion or logistics provider within the preparation times indicated on the Platform.
Delays in order handover caused by the Business Partner may result in cancellation, customer dissatisfaction, or other consequences for which the Business Partner is solely responsible.
Handling Delivery Delays
If a delay occurs due to the Business Partner’s failure to prepare the order on time or provide it to the delivery champion, easy reserves the right to adjust payouts, impose penalties, or take corrective measures in accordance with these Terms.
Unsuccessful Deliveries
Business Partners are responsible for ensuring that orders are correctly packed, labeled, and ready for delivery. If an order cannot be delivered due to errors, omissions, or negligence attributable to the Business Partner (including but not limited to incorrect packaging, missing items, or preparation mistakes), the Business Partner shall bear responsibility for resolving the issue and easy reserves the right to adjust payouts, impose penalties, or take corrective measures in accordance with these Terms.
Wrong Order, Missing Items, or Defective Goods
If a customer reports receiving incorrect, incomplete, or defective items, easy may investigate the matter. Where it is determined that the issue originated from the Business Partner, easy reserves the right to deduct the value of the affected items or apply penalties, refunds, or adjustments to payouts.
Partner Liability for Goods During Delivery
Business Partners are responsible for ensuring that all goods prepared for delivery meet applicable health, safety, and packaging standards. While easy facilitates the delivery process, the Business Partner remains liable for the quality and condition of the goods until they are handed over to the delivery champion.
Business Partners must comply with the Jordanian Food Law No. 30 of 2015 and applicable JFDA food safety requirements when preparing and packaging food for delivery.
9. Cancellation and Refund Policy
Business Partners acknowledge that once an order is accepted on the Platform, it must be prepared and fulfilled in accordance with the agreed terms. Business Partners are not permitted to cancel accepted orders, except in cases of force majeure or where an item is unavailable due to circumstances beyond their control, and such unavailability must be immediately communicated through the Platform.
If an order is cancelled or cannot be fulfilled due to the actions, inactions, negligence, or omissions of the Business Partner, easy reserves the right to:
- Cancel the order on behalf of the customer.
- Issue a refund or compensation to the customer.
- Deduct the corresponding amount, including any applicable service fees, from the business partner’s payout or future settlements.
Refunds to customers will be processed by easy in accordance with applicable Jordanian consumer protection laws and regulations. Business Partners accept that easy has sole discretion to determine when a refund, adjustment, or compensation is required in cases where the Business Partner is at fault.
For non-food categories (such as groceries, flowers, electronics, and health & beauty), any cancellations, returns, or refunds initiated due to partner error will also be the responsibility of the Business Partner, and any associated costs may be deducted from payouts, in line with applicable Jordanian consumer protection rules. Business Partners are required to maintain accurate product availability and pricing information on the Platform to minimize cancellations. Repeated failures to fulfill accepted orders may result in penalties, suspension, or termination of the Business Partner’s account.
10.Pick-up Process and Business Partner Responsibilities
Where the Platform offers a Pick-Up option, customers may choose to collect their order directly from the Business Partner’s premises instead of having it delivered. The Platform will notify the Business Partner of such pick-up orders and specify the expected Pickup Time.
Business Partners are responsible for:
- Ensuring that the order is prepared accurately and ready for collection by the specified Pickup Time.
- Holding the order at their premises for a reasonable period of time after the Pickup Time, in line with applicable food safety and quality standards.
- Ensuring that goods are packed and stored appropriately during the Holding Time to maintain quality and safety.
If a customer fails to collect the order within the Holding Time, the Business Partner is no longer obligated to retain or replace the goods, and easy shall not be liable for any claims arising from such failure.
Business Partners must also ensure that customers are able to verify and inspect their orders at the time of pick-up. Any reported issues, defects, or missing items must be addressed directly by the Business Partner, and easy reserves the right to deduct or adjust amounts from payouts where customer complaints are validated.
11.Pricing, Payment Terms, and Methods
Business Partners are solely responsible for setting and maintaining accurate prices for their goods and services as displayed on the Platform. Prices must be set in Jordanian dinars (JOD) and must comply with all applicable tax laws in the Hashemite Kingdom of Jordan, including general sales tax and any other indirect taxes, whether prices are displayed as inclusive or exclusive of such taxes, as required by law. Business Partners acknowledge and accept that prices listed on the Platform may differ from those provided by the Business Partner through other channels, including their websites, mobile applications, or physical locations.
Business Partners must ensure that all pricing and offers displayed on the Platform are correct, up-to-date, and comply with applicable regulations. Failure to maintain accurate pricing information may result in cancellations, customer complaints, or penalties applied by easy.
easy reserves the right to apply additional operational charges, including but not limited to: service fees, administrative fees, small order fees, or delivery-related charges. These fees will be communicated to Business Partners in writing or via the Platform and deducted from payouts as applicable.
Payment Processing and Settlements
All customer payments are processed by easy through its designated payment gateway(s) or payment service providers. Business Partners acknowledge that easy collects payments on their behalf and settles payouts to Business Partners after deducting applicable fees, credit card charges, cash handling charges, refunds, and adjustments.
Settlement timelines may vary depending on the payment gateway and banking procedures. Business Partners are responsible for ensuring that their provided bank account and payment details are accurate and kept up-to-date. easy is not responsible for additional fees charged by banks, card issuers, payment processors, or currency exchange providers.
Refunds and Adjustments
Where a refund, chargeback, or customer compensation is determined to be necessary due to an error, omission, or default by the Business Partner (such as incorrect items, unavailable products, or failure to fulfill an order), easy reserves the right to deduct the corresponding amounts from the Business Partner’s payouts or future settlements.
Prohibited Practices
Business Partners must not manipulate pricing, impose unauthorized surcharges, or misrepresent the value of goods and services. All promotions, discounts, or special offers displayed on the Platform must be pre-approved or accurately reflected within the Platform’s pricing structure.
The Business Partner is solely responsible for applying general sales tax (GST) where applicable under Jordanian Sales Tax Law No. 6 of 1994 and its amendments. Business Partners are responsible for issuing tax invoices in accordance with Jordanian Sales Tax Law and the regulations of the Jordan Income and Sales Tax Department.
12.Review Guidelines and Moderation Policy
The Platform allows customers to post reviews of their experiences with Business Partners and their goods or services. Business Partners acknowledge and agree to the following:
- Reviews must be based on a firsthand experience with the Business Partner or the goods and services provided through the Platform.
- easy reserves the right to approve, moderate, or reject reviews on the Platform. Reasons for rejection may include, but are not limited to:
- Use of offensive, abusive, or profane language, including hate speech or discriminatory comments.
- Content that is irrelevant or does not accurately reflect the customer’s experience.
- Discrimination based on religion, race, gender, national origin, age, marital status, or disability.
- References to illegal activities or violations of societal norms, traditions, or values.
- Allegations of health code violations without sufficient evidence or verification.
- Reviews submitted by competing Business Partners with the intent to harm another Business Partner’s reputation.
- Reviews published on the Platform are the opinions of individual customers and do not reflect the views or opinions of easy, its affiliates, or its employees. easy does not endorse any review and assumes no liability for any claims, damages, or losses resulting from reliance on reviews.
- All reviews submitted through the Platform become the exclusive property of easy. easy retains the right to reproduce, modify, translate, distribute, or otherwise use reviews for promotional, operational, or non-commercial purposes without any obligation to compensate the author.
- Reviews that contain the following are strictly prohibited:
- Insulting, vulgar, obscene, or offensive material.
- Promotion of violence, discrimination, or illegal activities.
- Infringement on the intellectual property rights of others.
- Violation of legal duties or obligations, including confidentiality or privacy.
- Misrepresentation of identity or affiliation with another person or entity.
- easy reserves the right to edit, moderate, or remove any review that violates these Terms or the Platform’s policies.
Customers may be required to provide additional information or verification to confirm the authenticity of their reviews. Business Partners are prohibited from manipulating reviews, ratings, or feedback, whether by posting false reviews about themselves, posting reviews about competitors, or otherwise attempting to distort the review system. Any such activity may result in suspension or termination of the Business Partner’s account.
13.Account Termination and Suspension Policy
easy reserves the right to terminate, suspend, or deactivate a Business Partner’s account and restrict access to or use of the Platform at its sole discretion and for any reason. This includes, but is not limited to:
- Violation of these Terms or other applicable policies.
- Failure to comply with local laws, regulations, or licensing requirements.
- Repeated cancellations, late preparations, or poor service quality.
- Submission of false, misleading, or fraudulent information.
- Engagement in activities that damage the reputation, integrity, or security of the Platform.
- Attempted manipulation of pricing, reviews, or Platform systems.
Such actions may be taken by easy without prior notice, and Business Partners acknowledge that termination or suspension may result in withholding of payouts, penalties, or legal action where applicable.
14. Prohibition of Unauthorized Commercial Use and Injunctive Relief
Business Partners acknowledge and agree that any unauthorized commercial use, reproduction, or re-publication of content, data, intellectual property, or information belonging to easy (including but not limited to the Platform, its design, technology, branding, trademarks, customer data, or operational processes) is strictly prohibited.
Business Partners further acknowledge that such misuse may cause significant and immeasurable financial damages to easy, for which monetary compensation alone may not provide an adequate remedy. In such cases, easy reserves the right to seek both temporary and permanent injunctive relief, in addition to any other legal remedies available under applicable law, to prevent or stop such misuse.
15. easy Loyalty Program Terms and Conditions
easy, at its discretion, may launch and operate the easy Loyalty Program, hereinafter referred to as the "Program," governed by the terms and conditions outlined below.
· Eligibility
Only Business Partners registered with easy in the Hashemite Kingdom of Jordan are eligible to participate in the Program. The eligibility criteria may be revised by easy at any time without prior notice.
· Acceptance and Disclosure
By participating in the Program, you, as a Business Partner, agree to the following:
o You have read, understood, and accepted these terms and conditions.
o You consent to the collection, usage, and sharing of your business and personal data by easy, its affiliates, and third parties for purposes related to the Program or easy’s business operations.
o You acknowledge and agree to the terms outlined in easy’s Privacy Policy, available on its website.
· Termination or Modification
o easy reserves the right to modify, at its sole discretion and without prior notice, any aspect of the Program, including but not limited to benefits, earning and redemption structures, and these terms and conditions. Business Partners are responsible for staying updated with any modifications. Continued participation in the Program constitutes acceptance of the updated terms.
o easy may terminate the Program, in whole or in part, without providing notice to active participants. After termination, any unredeemed points or benefits will be lost without liability to easy.
o easy reserves the right to immediately terminate a Business Partner’s participation in the Program in cases of fraud, breach of these terms, or provision of false information. Upon termination, all accumulated benefits will be void, and the Business Partner will lose access to the Program.
· Earning and Redemption
o Business Partners may be eligible to earn points or rewards for qualifying transactions processed through the Platform, as communicated by easy from time to time.
o Points or rewards earned may be redeemed for discounts, special offers, or benefits available in the easy Partner Rewards section of the Platform, subject to availability. Redemption terms and eligible rewards will be detailed in the Rewards Catalogue or communicated separately.
o Points or rewards cannot be exchanged for cash or transferred outside the Program and must be redeemed as outlined in the applicable rules. Once redeemed, rewards cannot be canceled, refunded, transferred, or exchanged.
· Expiration of Points
Points or rewards earned through the Program are valid for a period of sixty (60) days from the date they are credited to the Business Partner’s account. Points or rewards not redeemed within this period will automatically expire.
· Membership
Membership in the Program is personal to the Business Partner’s account and cannot be shared, gifted, transferred, or duplicated. Points and membership privileges are exclusive to the Business Partner account holder.
· Claims, Cancellations, and Modifications
If a transaction is canceled or modified due to the Business Partner’s actions, the corresponding points or rewards will be deducted from the Business Partner’s account. Delays or issues in service delivery do not entitle Business Partners to additional points or compensation. Claims for redemption awards will not be accepted for past transactions or unqualified activities.
· Responsibility
easy is not liable for any direct or indirect consequences arising from force majeure events, system malfunctions beyond its control, or any misuse or fraudulent activity by the Business Partner that violates these terms and conditions. easy is not responsible for the accuracy or completeness of any information provided by Business Partners during their participation in the Program.
· Governing Law
These terms and conditions, and any disputes arising out of or related to the Program, shall be governed and construed in accordance with the laws of the Hashemite Kingdom of Jordan.
16.Prescription Medicine Orders
Business Partners who are licensed pharmacies acknowledge and agree to comply with all applicable laws and regulations of the Hashemite Kingdom of Jordan, as well as the instructions and circulars of the Jordan Food and Drug Administration (JFDA), when listing and fulfilling prescription medicine orders through the Platform. Business Partners are responsible for:
· Verifying prescriptions, valid identification, and, where applicable, health insurance details from customers as required under Jordanian law and JFDA regulations.
· Ensuring that prescriptions are authentic, valid, and issued by licensed medical practitioners.
· Refusing fulfillment where prescriptions are invalid, incomplete, expired, or not in compliance with applicable regulations.
· Maintaining the confidentiality of all health-related information and processing such data strictly in accordance with Jordanian law and the Platform’s Privacy Policy.
easy does not access, verify, or store prescription or medical information. The licensed pharmacy Business Partner bears full responsibility for prescription medicines, including legality, authenticity, quality, handling, storage conditions, dispensing, and compliance with JFDA standards. Any questions, complaints, adverse reactions, or claims regarding prescription medicines must be directed to the dispensing pharmacy and/or the treating physician.
Business Partners acknowledge and agree that:
· In compliance with the laws and regulations in force in Jordan and the instructions and circulars of the JFDA, the delivery of medicines classified as narcotic, psychotropic, controlled, or semi-controlled is strictly prohibited through the Platform.
· Certain medicinal products requiring special storage or handling conditions, including cold-chain medicines requiring temperatures between 2–8°C, may not be eligible for delivery through the Platform where the applicable JFDA requirements cannot be reliably met. In such cases, customers may be required to collect the medicine directly from the pharmacy.
All pharmaceutical activities conducted on or via the Platform remain the sole legal and regulatory responsibility of the licensed Business Partner pharmacy. easy acts only as a technology platform and delivery facilitator and shall not be liable for any issues, claims, or liabilities arising from the prescribing, dispensing, storage, or use of prescription medicines.
17.Indemnity
The Business Partner agrees to indemnify, defend, and hold harmless easy address delivery services LLC (“easy”), its parent companies, subsidiaries, affiliates, directors, officers, employees, agents, and service providers from and against any and all claims, demands, actions, liabilities, damages (including direct, indirect, incidental, consequential, or punitive), losses, costs, and expenses (including reasonable legal and attorney fees and court costs) arising out of or in connection with:
· The Business Partner’s use or misuse of the Platform.
· Any content, data, or material submitted, uploaded, posted, or transmitted by the Business Partner through the Platform (including menus, product descriptions, images, or promotional materials).
· Any infringement or alleged infringement of third-party rights, including intellectual property, proprietary, or privacy rights, by the Business Partner.
· The Business Partner’s violation of these Terms and Conditions.
· Any violation of applicable laws, regulations, or licensing requirements while using the Platform or operating the Business Partner’s business.
· Any negligent, fraudulent, or willful misconduct related to the Business Partner’s operations, goods, or services.
This indemnity shall not apply to the extent that any such claim, damage, or loss is caused by the gross negligence or intentional misconduct of easy. easy reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification by the Business Partner, and the Business Partner agrees to cooperate fully with easy in defending such claims.
This indemnity will remain in effect and survive the termination of these Terms and the Business Partner’s use of the Platform. Nothing in this section affects any non-waivable rights or remedies available under mandatory Jordanian law.
18.Third-Party Links, Services, and Content
The Platform may include links to, or display content from, third-party websites, applications, products, services, advertisements, promotions, or offers. As a Business Partner, you acknowledge and agree that:
- These third-party websites, applications, products, or services are not owned, managed, or controlled by easy.
- easy does not endorse, guarantee, or assume any responsibility for the accuracy, functionality, security, reliability, availability, or maintenance of any such third-party services or content.
- Some third-party websites or applications may be affiliated with easy, while others are completely independent.
- Your use of, or reliance on, any third-party websites, applications, services, or content is entirely at your own risk. Any issues, losses, or damages arising from such use shall not create any responsibility or liability for easy.
- References or access to commercial products, services, or content of third parties do not constitute or imply any endorsement, recommendation, or warranty by easy.
By using the Platform, the Business Partner expressly agrees that easy shall not be held liable for any errors, omissions, damages, or actions arising from access to or reliance on third-party links, services, or content.
19.Platform Operations, Rights, and Limitations
easy reserves the right to temporarily suspend or permanently discontinue system operations at any time. The Platform shall not be held liable to Business Partners or any third parties for any consequences arising from such temporary suspension or permanent discontinuation of system operations.
Usernames and passwords are provided and approved only for registered Business Partners. easy reserves the right to restrict Business Partners from creating new passwords or reusing previous passwords indefinitely if deemed necessary.
easy does not guarantee that its services will be delivered promptly, securely, or without interruption. Furthermore, it does not warrant that the results obtained through its services will be accurate, reliable, or meet Business Partner expectations.
easy retains the right to back up and delete files, messages, or other content provided by Business Partners during their use of the Platform's services, for periods determined at its discretion. easy shall not be held liable for any outcomes or consequences related to such backup or deletion processes.
The Platform owns and holds copyright over all information, documents, software, designs, graphics, and similar materials that it produces or acquires externally.
Responsibility for updating business information, including prices, menu items, and product specifications, rests solely with the Business Partners listed on the Platform. In the event of any inaccuracies or misinformation regarding product details or pricing, easy reserves the right to rectify such errors by suspending listings, adjusting details, or taking corrective action, including cancellation of affected orders.
easy reserves the right to share, repost, or otherwise use information, documents, software, designs, graphics, or other content uploaded by Business Partners to the Platform, including but not limited to menus, posts, reports, or files, at its discretion. In such cases, Business Partners shall not be entitled to claim royalties or any form of compensation.
Over time, easy may introduce changes to the services provided on the Platform, including transitioning certain services that do not require Business Partner accounts to ones that do, offering additional services, modifying existing services, or converting them into paid services.
The Platform may experience periods of unavailability for system maintenance and upgrades. While easy will strive to provide prior notice for such interruptions, this cannot always be guaranteed. easy reserves the right to modify, withdraw, or discontinue any services at its discretion without prior notice.
20.Business Partner Service Quality and Refund Responsibilities
easy places a high priority on customer satisfaction and requires all Business Partners to uphold the same standard. Business Partners agree to:
- Ensure that goods and services provided through the Platform meet the quality, safety, and accuracy standards represented in their listings.
- Address customer complaints promptly and cooperate with easy in resolving disputes.
- Accept that if a refund, cancellation, or adjustment is required due to the Business Partner’s error, omission, or failure to fulfill an order, easy reserves the right to process such refund or compensation to the customer and deduct the corresponding amount from the Business Partner’s payouts or future settlements.
- Comply with all applicable Hashemite Kingdom of Jordan consumer protection laws and regulations when handling cancellations, returns, or refunds, including those related to non-food categories such as groceries, flowers, electronics, and health & beauty products.
Business Partners acknowledge that repeated customer complaints, service quality issues, or refund claims may result in penalties, suspension, or termination of their account on the Platform. All such cancellations, returns, and refunds shall be handled in accordance with applicable Jordanian consumer protection laws and regulations, and Business Partners agree to cooperate with easy to ensure compliance with these mandatory rules. These obligations shall apply without prejudice to the mandatory protections granted to consumers under Consumer Protection Law No. 7 of 2017.
21. Dispute Resolution and Evidentiary Agreement
In the event of any disputes arising in connection with these Terms, the Business Partner acknowledges, agrees, and confirms that any bookkeeping entries, records, microfilm, microfiche, and electronic or computer records maintained by easy shall constitute valid, binding, conclusive, and admissible evidence of the relevant facts, to the fullest extent permitted by law.
This clause serves as an evidentiary agreement and confirms that such records shall be considered admissible and relevant evidence in any dispute, without prejudice to the Business Partner’s rights under applicable Jordanian evidence laws, including the right to challenge such evidence in accordance with those laws.
22.Governing law and Jurisdiction
These Terms are governed by, and shall be interpreted and enforced in accordance with, the laws of the Hashemite Kingdom of Jordan. Any disputes arising from or related to these Terms, including disputes of a non-contractual nature, shall fall under the exclusive jurisdiction of the competent courts of the Hashemite Kingdom of Jordan, without prejudice to any mandatory jurisdiction rules under applicable Jordanian law.
23.Severability and Waiver
If any provision of these Terms is found to be unlawful, invalid, or unenforceable for any reason, that provision shall be deemed severable from these Terms and will not affect the validity or enforceability of the remaining provisions.
No waiver by easy shall be interpreted as a waiver of any previous, concurrent, or subsequent breach of any provision of these Terms by the Business Partner.
The failure of easy to enforce any right, remedy, or provision under these Terms shall not constitute a waiver of such right, remedy, or provision, nor prevent its enforcement at a later time. No waiver shall be effective unless made in writing.
24. License and Prohibited Uses
easy grants Business Partners a revocable, non-exclusive, and limited license to access and use the Platform strictly in accordance with these Terms and solely for the purpose of listing, managing, and promoting their goods and services on the Platform.
This license does not permit the removal of any trademark, copyright, or proprietary notices displayed on the Platform. Any other use of the Platform or its content is strictly prohibited.
Business Partners are not permitted to include the Platform’s information, content, or materials in any database, compilation, archive, or cache. Modification, copying, distribution, republication, transmission, display, performance, reproduction, publication, resale, licensing, creation of derivative works, transfer, or sale of any information, content, material, software, products, or services obtained from the Platform is prohibited unless explicitly permitted in writing by easy. Additionally, Business Partners may not:
- Deep link to the Platform or access it using robots, spiders, crawlers, extraction software, or automated processes to scrape, copy, or monitor any portion of the Platform or its content.
- Link, frame, or mirror any part of the Platform without prior written approval from easy.
- Redirect, refer, or otherwise encourage customers obtained through the Platform to transact outside of the Platform, including but not limited to sharing external websites, apps, phone numbers, or offline ordering channels, without easy’s prior written consent.
easy retains all statutory and common law rights against any entity or individual who violates these provisions. All rights not explicitly granted under these Terms are reserved by easy.
25. Intellectual Property Rights and Usage Restrictions
All trademarks, logos, images, service marks, and other proprietary content, including these Terms as displayed on the Platform or in easy’s marketing materials, are the exclusive intellectual property of easy address delivery services LLC (“easy”) and/or third parties who have authorized us to use such rights (collectively referred to as the “Intellectual Property”).
Business Partners are prohibited from using, copying, reproducing, republishing, uploading, posting, transmitting, distributing, or modifying any Intellectual Property without prior written consent from easy. No rights or licenses, whether express or implied, are granted to Business Partners under these Terms or through use of the Platform.
The unauthorized use of easy’s Intellectual Property, including but not limited to the easy logo, trademarks, or copyrighted content, on any platform, website, packaging, promotional material, or marketing channel not explicitly approved by easy is strictly forbidden.
easy reserves the right to fully enforce its Intellectual Property rights under applicable laws, which may include civil remedies and pursuing criminal prosecution where necessary. Any violation of this provision may result in the immediate suspension or termination of a Business Partner’s access to the Platform, without prejudice to any other rights or remedies available to easy.
easy makes no guarantee or representation that a Business Partner’s use of materials displayed on the Platform will not infringe or misappropriate the rights of third parties not owned or licensed by easy or its affiliates. Any such use of materials on the Platform is solely at the Business Partner’s own risk.
Business Partner License Grant
By registering on the Platform, Business Partners grant easy a non-exclusive, royalty-free, worldwide license to use, reproduce, display, publish, translate, and distribute the Business Partner’s intellectual property (including but not limited to trademarks, logos, menus, product names, images, and promotional materials) for the purpose of operating the Platform, facilitating transactions, and promoting the Business Partner’s goods and services across easy’s digital channels, marketing campaigns, and advertising materials.
This license will remain in effect for as long as the Business Partner maintains an active account on the Platform and will automatically terminate upon full deactivation of the account, except for any uses already made in good faith during the active period.
26.Business Partner Contributions and Licensing Terms
By submitting any contributions to the Platform (including but not limited to menus, product descriptions, images, videos, promotional materials, logos, or other content) the Business Partner represents and warrants that it owns or otherwise has the legal right to grant easy address delivery services LLC (easy) an irrevocable, perpetual, worldwide, non-exclusive, transferable, royalty-free, fully paid license. This license permits easy to:
- Use, copy, reproduce, adapt, modify, publicly perform, publicly display, reformat, translate, excerpt (in whole or in part), and distribute such contributions for any purpose, including but not limited to commercial, advertising, or promotional purposes related to the Platform.
- Prepare derivative works from, or incorporate such contributions into, other works.
- Grant and authorize sublicenses of the foregoing rights.
The Business Partner acknowledges and agrees that this license shall survive the termination of these Terms or the deactivation of its account on the Platform.
In addition, the Business Partner grants easy the sole and absolute discretion to:
- Edit, modify, or otherwise alter any contributions.
- Re-categorize contributions to place them in more relevant sections.
- Pre-screen, restrict, or delete any contributions deemed inappropriate, irrelevant, unlawful, misleading, or in violation of these Terms.
The Business Partner is solely responsible for ensuring that all contributions (including but not limited to menus, pricing, product specifications, and promotional materials) are accurate, lawful, and kept up-to-date at all times. Outdated, misleading, or false content may result in penalties, suspension, or removal from the Platform.
The Business Partner further agrees to indemnify and hold easy harmless from any claims, damages, or expenses (including reasonable legal and attorney fees, and court costs) arising out of or in connection with its contributions, including claims that such contributions infringe the rights of third parties.
27. Disclaimer of Warranties and Limitation of Liability
The Platform, including all information, content, software, systems, and services made available by easy address delivery services LLC (easy), is provided on an “as-is” and “as-available” basis, without warranties of any kind, whether express or implied.
To the maximum extent permitted by law, easy disclaims all representations and warranties, express or implied, including but not limited to:
- Merchantability.
- Fitness for a particular purpose.
- Title and non-infringement.
- Accuracy, reliability, or timeliness of content.
- Freedom from viruses, malware, or harmful components.
- Implied warranties arising from the course of dealing, usage, or performance.
easy does not warrant that the Platform or its functions will be uninterrupted, error-free, secure, or that defects will be corrected.
To the fullest extent permitted by law, easy, its directors, officers, employees, agents, and contractors shall not be liable to Business Partners for any direct, indirect, incidental, special, punitive, or consequential losses or damages, including but not limited to loss of revenue, profits, business, goodwill, data, or anticipated savings, arising out of or in connection with the Business Partner’s access to or use of (or inability to use) the Platform, whether based on contract, tort, negligence, strict liability, or any other legal theory.
Nothing in these Terms excludes or limits liability for death or personal injury caused by easy’s negligence or that of its employees or agents, or any other liability that cannot be excluded under applicable law.
Business Partners are solely responsible for:
- The accuracy of their listings, pricing, and promotional content.
- The preparation, safety, quality, legality, and condition of the goods and services they provide.
- Ensuring that they hold and maintain all licenses, permits, approvals, and authorizations required under applicable laws and regulations for their operations.
easy shall not be liable for any loss, damage, expense, or cost arising from the Business Partner’s own operations, including but not limited to product quality, accuracy of information, service timelines, or failure to comply with legal and regulatory obligations.
In any event, easy’s total liability to a Business Partner for all claims arising out of or in connection with the Platform shall not exceed the total fees paid by the Business Partner to easy in the one (1) month immediately preceding the claim.
Nothing in these Terms limits any liability that cannot be excluded or restricted under the mandatory laws of the Hashemite Kingdom of Jordan.
28.Force Majeure Clause and Its Implications
Neither easy address delivery services LLC (easy) nor the Business Partner shall be held liable or responsible for any delay or failure to perform their respective obligations under these Terms, if such delay or failure is caused by events beyond their reasonable control (Force Majeure Events). Force Majeure Events include, but are not limited to:
- Natural Disasters: Earthquakes, floods, hurricanes, tornadoes, tsunamis, volcanic eruptions, wildfires, or other acts of God.
- Pandemics and Epidemics: Outbreaks of contagious diseases, including government-mandated quarantines, restrictions, or lockdowns.
- Acts of War or Terrorism: Armed conflicts, war (declared or undeclared), invasions, acts of foreign enemies, hostilities, terrorism, or sabotage.
- Government Actions: Changes in law, regulations, orders, or actions by any governmental or regulatory authority, including trade embargoes or restrictions.
- Labor Disputes: Strikes, lockouts, or other labor disturbances.
- Utility Failures: Widespread power outages, internet disruptions, or interruptions to essential utility services.
- Civil Disturbances: Riots, protests, civil unrest, or public disorder.
- Supply Chain Disruptions: Delays or failures in transportation, shortages of goods or materials, or disruptions in logistics caused by any of the above events.
- Cybersecurity Events: Major cyberattacks, ransomware, or other significant security breaches impacting the Platform, infrastructure, or business operations.
Implications
In the event of a Force Majeure, the obligations of the affected party under these Terms shall be suspended for the duration of the Force Majeure Event. Neither party shall be deemed to have breached these Terms or be liable for any failure to perform obligations if such failure is caused by a Force Majeure Event.
Notifications
The affected party (whether easy or the Business Partner) shall make reasonable efforts to notify the other party of the Force Majeure Event as soon as practicable. Notifications may be sent via the Platform, email, or other available communication channels.
Mitigation and Termination
Both parties shall make reasonable efforts to mitigate the impact of the Force Majeure Event on their obligations, including seeking alternative solutions where feasible. If the Force Majeure Event continues for an extended period and either party determines that it is unable to fulfill its obligations, that party reserves the right to suspend or terminate the affected services or operations without liability.
Limitations and Resumption
Force Majeure does not excuse payment obligations for services, fees, or charges already due and payable by the Business Partner to easy.
If a Force Majeure Event impacts banking systems, payment gateways, or financial institutions, easy reserves the right to reasonably adjust payout schedules to Business Partners until normal operations resume, without incurring liability for such delays.
The provisions of this clause do not apply to delays or failures caused by negligence, willful misconduct, or lack of reasonable foresight on the part of either party.
Upon cessation of the Force Majeure Event, the affected party shall resume its obligations under these Terms as soon as reasonably practicable.
29.Right to Amend Terms and Business Partner Responsibility
easy address delivery services LLC (easy) reserves the right to amend, update, or modify these Terms at any time, at its sole discretion, subject to compliance with applicable laws and regulations. Any amended Terms will take effect immediately upon their publication on the Platform, unless otherwise specified.
It is the responsibility of the Business Partner to review these Terms regularly and ensure ongoing compliance. Continued access to or use of the Platform by the Business Partner after the publication of amended Terms constitutes acceptance of such amendments.
If the Business Partner does not agree with the amended Terms, in whole or in part, it must immediately discontinue its use of the Platform and notify easy in writing to terminate its account. 30.Language and Interpretation Clause
These Terms are available in both English and Arabic. In the event of any discrepancies between the two versions, the English version shall prevail.
